Mahindra Lifespaces Takes Full Control of Mahindra Homes

Mahindra Lifespace Developers Limited has acquired the entire 25.65% stake held by Actis Mahi Holdings Singapore in Mahindra Homes Private Limited for a cash consideration of up to ₹90 crore. The acquisition makes Mahindra Homes a wholly owned subsidiary of Mahindra Lifespace.

Transaction Timeline and Approvals

The transaction was proposed on September 18, 2025. Mahindra Lifespaces Developers received shareholder approval through a postal ballot, with the resolution passing with 99.44% votes in favor. The total votes polled represented 29.22% of the company's outstanding shares. The company has executed a Share Purchase Agreement to acquire the entire stake held by Actis Mahi Holdings.

Mahindra Homes Private Limited, incorporated in 2010, is engaged in residential real estate development, having completed its Windchimes project in Bengaluru and currently developing the final phase of Luminare—Phase 3 in Gurugram. Prior to the acquisition, Mahindra Lifespace Developers held 74.35% in Mahindra Homes, while Actis owned the remaining 25.65%.

Over the last three years, Mahindra Homes reported revenues of nil in FY25, ₹6.56 crore in FY24, and ₹8.81 crore in FY23.

Related Party Transaction Details

The company clarified that the proposed acquisition qualifies as a related-party transaction but will be carried out at arm's length terms. The acquisition is estimated to be completed within three months from the date of execution of the Share Purchase Agreement, subject to requisite approvals and fulfillment of mutually agreed terms and conditions.
